Why update the bylaws?
The current version of the bylaws has served the neighborhood well for the past 8 years. However, one ongoing topic for the Board has been whether there’s an opportunity to update the bylaws to:
Better reflect our mission and how we operate as board
Clarify Board membership and duties
Streamline elections, decision making, and meeting structure
What changes are proposed?
This update provides the opportunity to :
Reflect the Association’s purpose: the purpose in the bylaws now directly lines up with the content in the About Us section of the website.
Refine the Boundaries: the neighborhood boundaries left some ambiguity around the treatment of Blakehurst and excluded the resident of Morningside Drive who have traditionally be included in our neighborhood.
Clarifies membership: simplifies the eligibility rules and specifies household dues, not individual dues.
Clarifies Board membership and duties:
New expectations for Board membership (meeting attendance, hours/month, collaborative spirit).
New pathway for joining (attend 2 meetings, confirm interest, majority vote).
Board duties spelled out (supervision, events, resource allocation, community representation).
Reduces Board Officer positions: To make the Board less top heavy, we eliminated Second Vice President, added flexibility for “other officers” if needed.
Clarifies the Board Officer duties: Plain language and practical tasks (President circulates notes, Treasurer manages taxes and licenses).
Streamlines elections: Elections now run via a transparent email ballot process without a formal nominating body.
Simplifies meeting structure:
Annual Meeting keeps quorum at 10.
Decision-making is by majority but emphasizes consensus, replacing Robert’s Rules.
Regular monthly meetings Sept–June; quorum clearly defined.
